Terms and Conditions

By accessing or using the a2p.et platform, you agree to be bound by these Terms and Conditions.

1. Scope of Service

Two F Capital PLC grants you a non-exclusive, non-transferable right to access the a2p.et A2P SMS gateway. Features include:

• Bulk messaging and message scheduling.
• API and Web Portal access.
• OTP (One-Time Pin) services.

2. User Responsibilities & Content

• Compliance: You must comply with all Ethiopian laws, including anti-spam and privacy regulations.
• Prohibited Content: You may not send content that is illegal, harmful, abusive, or contains viruses.
• Sender ID: Users are assigned a specific Sender ID for identification to recipients.
• Consents: You are solely responsible for obtaining consent from recipients before sending messages.

3. Indemnification

You agree to indemnify, defend, and hold harmless Two F Capital PLC from any and all claims, damages, losses, or liabilities (including reasonable legal fees) arising from your use of the a2p.et service, including but not limited to any failure to comply with applicable Ethiopian laws, regulations, and industry standards, or the content of the messages you transmit.

4. Data Security and Confidentiality

Both parties agree to comply with all applicable data protection and privacy laws. Two F Capital PLC will implement reasonable industry-standard security measures to protect the data transmitted through the SMS gateway. The Parties agree to keep confidential all information provided by the other and will not disclose it without prior written consent.

5. Pricing and Payment

• Prepaid Basis: Service is provided on a prepaid "top-up" basis via your dashboard.
• Minimum Top-Up: An initial minimum top-up (e.g., 20,000 ETB) may be required for activation.
• Standard Rates: Fees are calculated per SMS
  • GSM Encoding: Up to 160 characters.
  • Unicode/Amharic: Up to 70 characters.
• Price Change Notification: Two F Capital PLC reserves the right to adjust pricing and will provide you with a minimum of thirty (30) days' prior written notice before any new pricing takes effect.
• Refunds: All payments are non-refundable.

6. Service Level Agreement (SLA)

• We aim for 99% uptime for the gateway.
• Issues will be addressed within 24 hours of notification.
• Technical support is available during standard business hours.

7. Termination

• Either party may terminate with 60 days' written notice.
• Immediate termination may occur if a material breach is not cured within 30 days.

8. Governing Law and Disputes

These terms are governed by the laws of the Federal Democratic Republic of Ethiopia. Disputes shall be settled through good faith negotiations, then mediation, and finally binding arbitration in Addis Ababa.

9. Force Majeure

Neither party shall be liable for failure or delay in performance due to events beyond their reasonable control (e.g., natural disasters, government actions, or telecommunications failures).
